Linde India's board approved audited FY25 results on 23 May 2025. Standalone revenue from operations fell to Rs. 24,853.76 Million from Rs. 27,686.69 Million last year, but profit before tax rose to Rs. 6,064.72 Million (vs Rs. 5,711.22 Million). Standalone EPS stood at Rs. 52.51 (vs Rs. 49.99). The board recommended a total dividend of 120% (Rs. 12 per share), which includes a special dividend of Rs. 7.50 per share, on 85,284,223 equity shares. The 89th AGM is scheduled for 14 August 2025, with book closure from 8–14 August 2025. Mr Abhijit Banerjee was re-appointed as Managing Director for 3 years (7 June 2025 to 6 June 2028), and M/s P Sarawagi & Associates were appointed as Secretarial Auditors for 5 years. Statutory auditors Price Waterhouse & Co. issued a qualified opinion on the results, flagging the ongoing SEBI matter around related-party transactions with Praxair India (PIPL) and the JV business allocation.
The special dividend of Rs. 7.50 per share is a positive signal for shareholders, while FY25 revenue decline may concern investors even though profitability improved. The qualified auditor opinion and ongoing SEBI litigation over related-party dealings and business allocation with PIPL remain unresolved overhangs — the next SAT hearing is set for 10–11 June 2025.
