Securities Appellate Tribunal on 5 December 2025 dismissed Linde India's appeal against a July 2024 SEBI order. SEBI had found the company failed to obtain shareholder approval for material related party transactions with Praxair India. SAT upheld directions requiring Linde to aggregate all related party transactions for materiality testing, and for NSE to appoint a valuer for the 2020 JV business allocation. No costs awarded.
Company lost appeal. Must follow new RPT approval process and allow valuation of JV business allocation. Modest negative sentiment; outcome largely anticipated.
