BSE imposed Rs 12.66 lakh fine (inclusive of GST) on MTNL for non-compliance with SEBI LODR rules on board composition and committees including audit, nomination and remuneration, stakeholder relationship, and risk management. The non-compliance is due to vacant independent director seats, whose appointments are made by the Department of Telecommunications. MTNL has requested BSE to waive the fine. Company says there is no material impact on financials or operations. If non-compliance continues for a second consecutive quarter, MTNL could be moved to Z group and face trading suspension, and promoter holdings could be frozen.
Procedural governance penalty of about Rs 12.66 lakh. Risk of Z group reclassification and trading suspension if lapses continue next quarter.
