Maple Infrastructure Trust's sponsor Maple Highways has signed share purchase agreements to sell a 42.50% stake in the Investment Manager (Maple Infra InvIT Investment Manager) to MAIF 4 (a Macquarie Asset Management fund) for Rs 16 crore, and a 40% stake in the Project Manager (Maple Highway Project Management) for Rs 1.8 crore. Once completed, the Investment Manager will cease to be a subsidiary of Maple Highways, leading to a change in control. Post-deal shareholding in the Investment Manager will be: Maple Highways 42.50%, MAIF 4 42.50%, and 360 One 15%. Separately, CDPQ (another sponsor-group entity) has indicated it may sell up to 37.5% of the Trust's total units (about 17.73 crore units) to MAIF 4, subject to a binding agreement. All transactions need approvals from SEBI, CCI, NHAI, and unitholders.
Macquarie is set to become a co-sponsor alongside Maple Highways and CDPQ, bringing a globally respected infrastructure investor on board, which could boost credibility. However, the exit of CDPQ from unitholding and change in control of the Investment Manager introduce near-term uncertainty around the Trust's strategic direction and require multiple regulatory and unitholder approvals before completion.
