The NCLT New Delhi Bench, via its order dated March 18, 2026, has admitted the Second Motion Petition filed by Mawana Sugars Limited and Mawana Foods Private Limited for a Scheme of Amalgamation under Sections 230-232 of the Companies Act, 2013. The First Motion Petition was earlier approved on December 18, 2025, and meetings of unsecured creditors and equity shareholders were already concluded. The Tribunal has directed the companies to publish notices in Business Standard (English and Hindi, Delhi editions) and to serve notices on statutory authorities including SEBI, RBI, NSE, BSE, Income Tax authorities, the Official Liquidator, and the Registrar of Companies. These authorities have 30 days to raise any objections, failing which they will be deemed to have no representation. The next hearing is scheduled for May 13, 2026.
This is a procedural milestone in the ongoing merger process, not an approval of the scheme itself. The amalgamation is still subject to regulatory responses and final NCLT sanction, so no immediate change to shareholding or stock price is expected from this order alone.
