On the reaction day the stock moved 3.0 pts more than Nifty Midcap 150 and 2.7 pts more than its Life Insurance peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

Max Financial Services' board addressed a fine of Rs 4,000 plus GST levied by NSE and BSE for a 2-day non-compliance with Regulation 19 of SEBI Listing Rules. The gap arose after Mr. K. Narasimha Murthy's retirement as Independent Director on March 29, 2026, causing a temporary shortfall in NRC composition. Mr. Bharat Anand was co-opted to the NRC on April 9, 2026, restoring compliance. The fine has been paid and the NRC now has 4 of 6 members as Independent Directors.
Minor procedural penalty already paid. No material impact on operations or shareholders. Current governance fully compliant.
