Max Financial reported consolidated revenue of Rs 14,258.93 cr for Q3 FY26 (up about 60% YoY) and PAT of Rs 44.75 cr (down 36% YoY). 9M FY26 PAT fell sharply to Rs 137.64 cr from Rs 366.52 cr last year. Standalone posted a small profit of Rs 1.65 cr versus a loss. Board gave in-principle approval for amalgamation of the company into Axis Max Life Insurance, enabled by a new insurance law effective Feb 5, 2026. Axis Max Life raised Rs 800 cr via NCDs at 7.95% in Sep 2025. New Labour Codes led to a one-time Rs 96.52 cr past service cost expense.
Proposed merger with Axis Max Life could reshape shareholding and unlock value; 9M PAT drop is a concern. Watch for IRDAI and shareholder approvals.
