Max India Limited has allotted 36,19,594 fully convertible warrants at Rs. 222 per warrant, raising an aggregate of about Rs. 80.35 crore on a preferential basis. Allottees include promoter entity Max Ventures Investment Holdings Private Limited (about Rs. 22 crore) and six non-promoter allottees, with Singularity Equity Fund I being the largest subscriber at roughly Rs. 50 crore. Each warrant is convertible into one equity share of Rs. 10 face value on payment of the remaining 50% of the issue price; only 50% upfront consideration (around Rs. 40.18 crore) has been received so far. The allotment was approved through a circular resolution of the Board on September 24, 2025.
This is a capital raise that will strengthen the company's funds when warrants are converted, but it also carries potential equity dilution for existing shareholders. Participation by the promoter group signals management confidence, while the involvement of an institutional fund (Singularity Equity Fund I) brings a notable new investor onto the cap table.
