Megri Soft Ltd (BSE: 539012) submitted its unaudited Q2 and half-year FY26 results (ended 30 Sept 2025), approved by the Board on 10 Nov 2025. On a consolidated basis, H1 FY26 revenue rose to about Rs. 138.39 lakhs from Rs. 100.47 lakhs in H1 FY25, a jump of roughly 38% year-on-year. However, profit after tax was nearly flat at about Rs. 29.50 lakhs (vs Rs. 29.11 lakhs in H1 FY25), indicating that higher costs and possibly the weak contribution from its UK subsidiary kept margins under pressure. The statutory auditor (Narinder Kumar and Company) issued an unmodified Limited Review report on both standalone and consolidated numbers. The Board also approved a related-party transaction of up to Rs. 18 lakhs with Mahesh Kohli (HUF) for construction work at the company's IT City premises in SAS Nagar, Punjab — Mr Mahesh Kohli is the brother of promoter-director Mohnesh Kohli.
Revenue growth is a positive signal, but the almost unchanged PAT suggests margin compression and operating costs catching up to top-line gains — the stock may see a neutral-to-slightly-negative reaction. The related-party transaction is below the SEBI materiality threshold (Rs. 18 lakhs) and described as at arm's length, so it is unlikely to be a major concern, though investors should monitor related-party dealings given the promoter connection.
