On the reaction day the stock moved 0.3 pts less than Nifty Microcap 250 and in line with its Trading & Distributors peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
NSE and BSE levied a fine on MSTC Limited for non-compliance with SEBI LODR Regulations 2015 during the quarter ended 30 June 2025, covering failures in board composition (no woman independent director), audit committee, nomination and remuneration committee, stakeholder relationship committee and risk management committee. The Board noted that three independent directors were appointed by the Ministry of Steel during the June 2025 quarter, and the company is now compliant except for one independent director vacancy. As a Government company, appointment of independent directors rests with the President of India through the Ministry of Steel and is beyond the company's control. The Board has requested the stock exchanges to waive the fine and will follow up with the Ministry to fill the vacancy.
Minor regulatory penalty likely to be waived; non-compliance due to government appointment delays, not company fault. Limited impact on shareholders.
