NACL Industries has completed the allotment of 3,25,01,851 rights equity shares of face value ₹1 each at an issue price of ₹76.70 per share (including a premium of ₹75.70), as approved by the Securities Issue Committee on 31st December 2025. Following this allotment, the company's paid-up equity share capital has increased from ₹20,15,11,479 to ₹23,40,13,330. Additionally, the committee approved an investment of ₹83 crore in its wholly-owned subsidiary NACL Spec-Chem Limited through subscription to Compulsorily Convertible Debentures (CCDs), to be used by the subsidiary for repayment or prepayment of its existing loans. NACL Spec-Chem is in the agro-chemical business with FY24-25 turnover of ₹96.44 crore, and the parent will continue to hold 100% shareholding post-conversion.
The rights issue allotment is a routine capital-raising conclusion that expands the equity base by roughly 16%; dilution was largely expected by shareholders. The ₹83 crore CCD investment into the subsidiary strengthens the agro-chemical arm by enabling debt reduction, which could improve consolidated financial health going forward.
