NALCO faces exchange fines over missing independent directors

BSE and NSE each fined NALCO Rs. 5,31,000 (including 18 percent GST on a base of Rs. 4,50,000) for not having the required number of independent directors on its board under SEBI listing rules for the quarter ended 31 March 2026. NALCO says it has no control over director appointments since it is a central government enterprise and all directors are appointed by the President of India. The Board has asked the exchanges to waive the fines and requested the Ministry of Mines to appoint independent directors quickly.
