Naturewings Holidays Ltd's board, at its meeting on August 1, 2025, recommended a final dividend of Rs. 1.50 per equity share on a face value of Rs. 10 for FY 2024-25, pending shareholder approval at the AGM on August 25, 2025. The company also approved a preferential issue of up to 4,99,200 equity shares at Rs. 75 each (face value Rs. 10) to 13 non-promoter allottees, subject to shareholder and regulatory approvals. Additionally, the board appointed a new Secretarial Auditor and Internal Auditor for FY 2025-26, and appointed Ms. Dibyaya Raha (related to the Managing Director) as an Additional Non-Executive Non-Independent Director. The board also indicated plans to approve an Employee Stock Option Scheme (ESOP) in a future meeting.
The Rs. 1.50 dividend on a Rs. 10 face value reflects a 15% payout on par value, though actual yield depends on the prevailing market price. The preferential issue at Rs. 75 per share (a Rs. 65 premium over face value) will dilute existing shareholders by roughly the proportion of new shares to current equity, while bringing in fresh capital of about Rs. 3.74 crore from non-promoters.
