On the reaction day the stock moved 0.8 pts more than Nifty Smallcap 250 and 1.6 pts more than its Civil Construction peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
NBCC informed exchanges about an MCA order on the first motion for merging wholly owned subsidiary HSCC (India) Limited into itself. The ministry waived meetings of equity shareholders and secured creditors since HSCC is fully owned and no new shares will be issued. Unsecured creditors above Rs 1 crore will receive individual notices with 30 days to object. Regulators including SEBI, NSE, BSE, and Income Tax authorities will also be notified. A confirmation petition will follow after compliance.
Merger process advances smoothly. As HSCC is wholly owned, no share dilution for NBCC shareholders. Awaiting final approval.
