On the reaction day the stock moved 1.6 pts more than its Other Financial Services peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.

On November 3, 2026, NCLT Mumbai approved the merger of Hinduja Leyland Finance Limited into NDL Ventures, subject to conditions in its order, and made the scheme absolute. HLFL will be dissolved without winding up, with its employees and liabilities moving to NDL. NDL will issue 25 fully paid shares of Rs 10 each for every 10 HLFL shares of Rs 10 each. The scheme names April 1, 2026 as the appointed date.
The merger adds a finance business and scale to NDL, but new share issuance will dilute existing holders. All HLFL liabilities also transfer to NDL.
