Nectar Lifesciences informed the exchanges that its Board, at a meeting on July 23, 2025, noted fines imposed by NSE and BSE under the SEBI Master Circular for non-compliance with listing rules. The company paid Rs. 59,000 each to NSE and BSE (including GST) for late submission of FY2024-25 financial results under Regulation 33, and Rs. 11,800 each for late prior intimation of the board meeting under Regulation 29. The delay was caused because the original May 30, 2025 board meeting was adjourned sine die, and a fresh meeting was called on July 7, 2025, after a mock trading session on July 5 was treated as a working day. The Board has decided to apply to the exchanges' review committees for a waiver of the penalties and has instructed management to ensure timely compliance going forward.
This is a minor compliance issue with small monetary penalties (under Rs. 1.5 lakh in total) that the company has already paid. The risk of escalation, such as freezing of promoter demat accounts, has been avoided. However, repeated late filings could attract stricter exchange action, including trading restrictions, which is a negative governance signal for shareholders.
