NIIT Learning Systems posted consolidated revenue of Rs. 4,513.54 Million for Q1 FY26, up about 10.8% from Rs. 4,072.29 Million in Q1 FY25. Total income rose to Rs. 4,644.28 Million from Rs. 4,165.75 Million. However, profit before tax slipped to Rs. 730.21 Million (vs Rs. 812.47 Million) after booking Rs. 62.81 Million as exceptional items tied to acquisition expenses. Profit after tax fell to Rs. 493.03 Million (vs Rs. 600.19 Million), translating to a basic EPS of Rs. 3.62 vs Rs. 4.43 a year ago. Standalone revenue grew a stronger ~22.7% to Rs. 1,311.69 Million with PAT of Rs. 202.42 Million (up ~10%). The company also announced acquisition of Germany's MST Group for EUR 22.37 million post-quarter-end, and granted 2.07 million ESOPs at Rs. 335.80 per option. Auditor S.R. Batliboi & Associates LLP issued a clean limited review report with no qualifications.
Top-line growth is healthy but bottom-line came under pressure from higher employee and outsourcing costs, leading to EBITDA margin compression. The MST Group acquisition could be a growth catalyst but will add integration risk and debt going forward.
