NINtec Systems' board met on May 28, 2025 and approved audited financial results for Q4 and FY ending March 31, 2025, with the statutory auditor (Samir M. Shah & Associates) issuing an unmodified opinion. On a standalone basis, revenue from operations grew about 32.6% to Rs 8,584.70 lakhs and profit after tax jumped about 65.7% to Rs 2,331.34 lakhs, taking EPS to Rs 12.55 (vs Rs 7.58 last year). Consolidated results were even stronger: revenue rose about 68.3% to Rs 13,980.42 lakhs and PAT grew about 69.7% to Rs 2,632.20 lakhs, helped by the Netherlands subsidiary (Nintec Systems B.V.). Operating cash flow stayed healthy at Rs 2,372.96 lakhs on a consolidated basis, lifting end-of-year cash to Rs 2,620.47 lakhs. The board also redesignated Mr. Indrajeet Mitra as Non-Executive Non-Independent Chairman (Mr. Niraj Gemawat continues as Managing Director), appointed Ms. Zalak Chokshi as Internal Auditor for FY26, and appointed M/s. Tushar Vora & Associates as Secretarial Auditor for five years (FY26–FY30), subject to shareholder approval.
Strong, broad-based growth across both standalone and consolidated books, expanding margins, and positive cash generation are positive signals for shareholders. The leadership change is largely a redistribution of roles among existing directors and the new auditor appointments are routine governance items, so no material disruption is expected.
