Northern Arc Capital's shareholders approved nine resolutions at the AGM held on August 25, 2025. Key approvals include the issuance of Non-Convertible Debentures (NCDs) on a private placement basis in one or more tranches up to INR 5,000 Crores, and an increase in overall borrowing powers up to INR 15,000 Crores under Section 180(1)(c) of the Companies Act. Shareholders also approved creating charges on company assets up to INR 15,000 Crores to support these borrowings. The ESOP pool was expanded by 4,71,209 options, taking the total to 94,78,967 under the Northern Arc ESOP Plan 2016. M/s. Alagar & Associates was appointed as Secretarial Auditors for five years from April 1, 2025 to March 31, 2030, replacing the outgoing auditor. Remuneration revisions for Non-Executive Chairperson P S Jayakumar and MD & CEO Ashish Mehrotra were also approved.
The NCD approval of up to INR 5,000 Crores signals significant fundraising capacity, likely to support the NBFC's lending growth. Higher borrowing limits of INR 15,000 Crores give management room to scale operations, but also increase leverage. The ESOP expansion and revised executive pay may help retention but adds to long-term costs.
