Ms. Harshbeena Sahney Zaveri, a promoter of NRB Bearings, proposes to acquire 2,70,24,177 equity shares (27.88% of share capital) from Trilochan Singh Sahney Trust 1, another promoter, on or after November 6, 2025. The transfer is at nil consideration and is classified as an inter-se transfer among promoters under SEBI Takeover Regulations 10(1)(a)(ii), exempting it from an open offer requirement. Post-transfer, Harshbeena's stake will rise sharply from 13.60% to 41.48%, while the Trust's stake drops from 34.88% to 7%.
