Promoter Harshbeena Sahney Zaveri has created a pledge on 30,05,000 equity shares (3.10% of total share capital) of NRB Bearings in favour of Tata Capital Limited (NBFC) on December 4, 2025. Simultaneously, Trilochan Singh Sahney Trust – 1 released a pledge on an equal number of shares (30,05,000 / 3.10%). This is an inter-se promoter arrangement where shares were distributed from the Trust to its beneficiary (Harshbeena), and then re-pledged, so the overall percentage of promoter-group pledged shares remains unchanged. Post-event, Harshbeena's encumbered shares stand at 24,919,877 (25.71% of total share capital), which is 61.98% of her personal promoter holding. The pledged shares are valued at approximately Rs. 820.76 crore against an encumbrance amount of about Rs. 291.75 crore (security cover of 2.81:1), and the borrowed amount is intended for personal use, including family settlement.
