The auditor flagged an 'Emphasis of Matter' covering ₹87.22 crore invested in subsidiaries with negative net worth, a pending SEBI order (₹50 lakh penalty each on the company and two directors, with appeal pending at SAT), a disputed GST liability of ₹39.60 lakh, and a subsidiary transaction where a ₹25 crore cheque (later revised) for sale of an unlisted subsidiary remained uncleared. No debt defaults were reported as of 30 June 2025.
Shareholders should note that the business continues to report losses, consolidated revenue has collapsed sharply YoY, and there are unresolved regulatory and recoverability concerns flagged by the auditor, which together suggest continued near-term pressure on the stock despite no immediate debt default.
