Onesource Industries and Ventures has allotted 77.5 lakh fully convertible warrants to three non-promoter investors on a preferential basis. Each warrant carries a price of Rs. 6.10, taking the total deal size to about Rs. 4.73 crore. The company has received 25% upfront (around Rs. 1.18 crore), with the remaining 75% due on conversion within 18 months. The biggest allottee is Shibhu Maurya with 65 lakh warrants (about Rs. 3.97 crore), followed by Hitesh Kumar Loonia HUF (10 lakh warrants) and Vishan Das Tharani (2.5 lakh warrants). Each warrant is convertible into one equity share of Re. 1 face value at Rs. 6.10 per share. There is no immediate change in paid-up share capital since these are warrants, not shares.
This is a small preferential fundraising that brings in about Rs. 1.18 crore immediately, with up to Rs. 4.73 crore possible if warrants are fully converted. Dilution risk exists if all warrants convert — Shibhu Maurya alone would end up holding roughly 17.6% on a fully diluted basis, making him a significant non-promoter shareholder.
