Onesource Specialty Pharma, alongside other Swedish and international institutional investors, has subscribed to a directed share issue of Xbrane Biopharma AB, a Swedish biosimilar company listed on Nasdaq Stockholm. Xbrane is raising approximately SEK 240 million (roughly ₹210 crore) through the issue of 1,043,478,260 new shares at SEK 0.23 per share, with pricing done via an accelerated bookbuilding process. The issue is oversubscribed and will result in about 40.5% dilution, pending approval at an Extraordinary General Meeting scheduled for around July 3, 2025. Use of proceeds: ~40% for FDA regulatory process for Lucamzi and pre-filled syringe development, ~55% for Xdivane supplier payments and CMC/clinical material costs, and ~5% for general corporate purposes. Xbrane has also become debt-free after selling its XB003 (Cimzia biosimilar) program to Alvotech for SEK 275 million, with annual fixed costs expected to drop to about SEK 40 million. A 90-day lock-up applies to management and the company.
For Onesource shareholders, this marks a strategic overseas investment into a debt-free biosimilar developer with a leaner cost structure, potentially offering long-term upside if Ximluci, Lucamzi, and Xdivane achieve commercial success. Near-term, the investment exposes Onesource to FX, cross-border regulatory, and clinical-execution risks, with returns depending on FDA approvals and royalty/profit-share outcomes from Xbrane's portfolio.
