Orient Tradelink Ltd's board, on 7th April 2025, approved the allotment of 43.30 lakh fully convertible warrants to 9 non-promoter investors at Rs 16 per warrant on a preferential basis, raising Rs 1.77 crore. Investors paid 25% upfront (Rs 4 per warrant), with the remaining Rs 12 payable at the time of conversion. Each warrant is convertible into one equity share of Rs 10 face value within 18 months, in one or more tranches. The allottees include individuals and one LLP (Joydeep Commosales LLP getting the largest chunk at 9.85 lakh warrants). Note that BSE had originally granted in-principle approval for 4.96 crore warrants, but only 43.30 lakh have been allotted in this first tranche.
If all warrants are eventually converted, the company will raise an additional ~Rs 5.20 crore (75% balance amount) and the share count will increase by 43.30 lakh, leading to equity dilution for existing shareholders. The small size of the issue (Rs 1.77 crore) and the allottees being non-promoters suggest limited immediate price impact, though investors should watch for future tranches and conversion announcements.
