The board of Orient Tradelink Ltd, at its meeting on 8th April 2025, approved the allotment of 55,65,000 fully convertible warrants on a preferential basis to 13 non-promoter investors. Each warrant carries an issue price of Rs 16, taking the total issue size to Rs 2.226 crore. The company has received Rs 55.65 lakh as upfront subscription money (Rs 4 per warrant, 25% of the issue price), and the remaining Rs 12 per warrant is payable upon conversion. Each warrant is convertible into one equity share of Rs 10 face value within 18 months from the date of allotment. Member approval for this preferential issue was obtained on 23rd December 2024, and BSE in-principle approval was granted on 1st April 2025. The investors are a mix of individuals and one body corporate, all classified as non-promoters.
This is a small preferential warrant issuance, so the immediate dilution impact is limited. However, if all warrants are converted within the 18-month period, it will increase the company's equity base, leading to dilution for existing shareholders.
