Panache Digilife Limited's board has approved the issuance of up to 37,56,000 convertible warrants at ₹263 each, aggregating up to ₹98.78 crore, to promoters and non-promoter public investors. Each warrant (face value ₹10) is convertible into one equity share within 18 months, with ₹66 payable upfront and the balance ₹197 on exercise. Promoters Amit D Rambhia and Nikit D Rambhia will each receive 7,20,000 warrants, while the largest non-promoter allottee is Bhushan Gaonkar at 8,42,500 warrants. The board also approved the Panache ESOP 2025 scheme covering up to 6,00,000 stock options, an increase in authorised share capital from ₹20 crore to ₹22 crore, and an EGM on 18th October 2025 to seek shareholder approval.
This is a potential dilution event as 37.56 lakh warrants could convert into equal number of equity shares, increasing the company's share capital. Post full conversion, promoters Amit and Nikit Rambhia will each hold about 19.79% of the company, showing promoter commitment and confidence. The EGM approval and warrant allotment outcomes will be key near-term triggers for the stock.
