On the reaction day the stock moved 3.3 pts less than Nifty Microcap 250 and 2.8 pts less than its IT Enabled Services peers, over the same two closes: a difference in percentage points, not a measure of what the filing did.
Minute windows have no benchmark: there is no intraday index history to compare against.
Panache Digilife's board approved issuing up to 6,07,348 convertible warrants to a single non-promoter individual, Bhushan Gaonkar, at ₹355 per warrant, aggregating to about ₹21.56 crore. Each warrant is convertible into one equity share of ₹10 face value within 18 months from the date of allotment. The allottee will pay ₹88.75 per warrant upfront (about 25%) and the remaining ₹266.25 on exercising the warrants; unexercised warrants will lapse and the upfront amount will be forfeited. The issue price is stated to be not lower than the floor price calculated under Regulation 164 of SEBI ICDR Regulations. If all warrants are converted, the allottee's stake in the company would rise from 0.08% to 3.18%.
Existing shareholders face a potential dilution of up to around 3% if the warrants are fully converted, though the issue price is at or above the regulatory floor. The capital infusion of up to ~₹21.56 crore (received in two tranches) will strengthen the company's balance sheet, but the small size and single-investor nature of the allotment limit any major positive re-rating.
