The Board of Panache Digilife approved issuing up to 37,56,000 convertible warrants at ₹263 each, aggregating up to ₹98.78 crore, to promoters and select non-promoter allottees via preferential allotment under SEBI ICDR regulations. Each warrant requires ₹66 upfront and a balance ₹197 on exercise within 18 months. The Board also approved the Panache – ESOP 2025 scheme, allowing grant of up to 6,00,000 stock options to eligible employees, exercisable into equal number of equity shares of ₹10 face value. Additionally, authorised share capital will be raised from ₹20 crore to ₹22 crore by creating 20 lakh new equity shares. Shareholder approval will be sought at the EGM scheduled for October 18, 2025.
If approved, the warrant issue and ESOP could collectively lead to dilution of existing shareholders, while the company stands to raise up to ₹98.78 crore in fresh capital to fund growth. Promoter and promoter-group entities are set to increase their effective stake through the warrant subscription.
