Samyak Enterprise Private Limited along with Persons Acting in Concert (Jaiminkumar Ashokbhai Patel and Bhartkumar Ishwarbhai Prajapati) has acquired 95,96,770 equity shares of Panth Infinity Ltd, representing 17.40% of the total share capital. The shares were allotted on March 17, 2026 through a preferential issue by way of conversion of an outstanding unsecured loan. Prior to this acquisition, the acquirer held 0% in the company, and post-acquisition their holding stands at 17.40%. The total equity share capital of Panth Infinity has more than doubled from 2,49,12,228 shares (Rs. 24.91 crore) to 5,51,58,758 shares (Rs. 55.16 crore) as a result of this preferential allotment. The acquirer has confirmed that it does not belong to the promoter or promoter group of the target company.
This is a significant change in the company's shareholding pattern, with a new non-promoter entity emerging as a substantial shareholder holding over 17%. Loan-to-equity conversion of this scale can be a precursor to a potential takeover or change in management, and existing shareholders should watch for further disclosures and any open offer obligations under SEBI Takeover Regulations.
