PC Jeweller has allotted 106.19 crore equity shares (face value ₹1 each) to 32 allottees upon conversion of 10.62 crore Fully Convertible Warrants. The warrants were originally issued via preferential allotment to the Promoter Group and Non-Promoter Public Category in September–October 2024. The company received the balance 75% of the issue price, amounting to ₹447.60 crore, at ₹42.15 per warrant (full issue price of ₹56.20 per warrant, or ₹5.62 per share post the ₹10-to-₹1 stock split). As a result, paid-up equity capital has risen from ₹864.86 crore to ₹971.05 crore. Promoter holding has diluted from 40.72% to 38.49%, while public holding has increased from 59.28% to 61.51%.
This is a dilution event for existing shareholders — the total share count has expanded by about 12.3%. On the positive side, the company has raised fresh capital of roughly ₹447.60 crore, strengthening its equity base. Existing shareholders should note the lower promoter shareholding post-allotment, though the promoter group (Pooja Garg) also received 21.6 crore new shares through the conversion.
