PDS Limited has transferred shares in its step-down UK subsidiary Poeticgem Limited to Mr. Anuj Banaik, the Managing Director of Poeticgem. Mr. Banaik held a 25% economic interest in the Poeticgem business verticals, and this share transfer aligns his ownership with that interest. As a result, Poeticgem is no longer a wholly owned step-down subsidiary of PDS. The consideration received was approximately ₹38.86 lakh (around USD 45,418). Poeticgem contributed ₹269.87 crore in turnover (2.15% of consolidated) and had a net worth of ₹119.73 crore (6.98% of consolidated) in the last financial year. The transaction is a related party deal done at arm's length, and the buyer is not part of the promoter group.
The financial impact on PDS is minimal given the small consideration and low revenue contribution from Poeticgem. This is a governance-driven restructuring rather than a strategic divestment, so shareholders are unlikely to see a meaningful effect on the stock price.
