The Board approved unaudited standalone and consolidated financial results for Q1 FY26 (quarter ended June 30, 2025). On a standalone basis, total income stood at Rs. 4,955 lakhs, down from Rs. 5,504 lakhs in Q1 FY25, with profit after tax of Rs. 1,787 lakhs (vs Rs. 2,985 lakhs a year ago). Standalone results include an exceptional item of around Rs. 600 lakhs. Consolidated results swung to a loss mainly because of an Rs. 843 lakh share of losses from its associate, Aditya Birla Real Estate Ltd (erstwhile Century Textiles). The Board also approved raising up to Rs. 1,000 crore through Redeemable Non-Convertible Debentures on a private placement basis, subject to shareholder approval. The joint statutory auditors (Maheshwari & Associates and Agrawal Subodh & Co) issued an unmodified limited review report. The filing also notes RBI has approved the company's conversion from an NBFC to a Core Investment Company (CIC), with a fresh registration certificate dated May 27, 2025.
Year-on-year profitability weakened on a standalone basis due to lower income and an exceptional charge, while consolidated bottom-line turned negative because of associate-level losses. The Rs. 1,000 crore NCD plan indicates upcoming fundraising activity that could dilute existing bond holders' position but also expand the company's debt capacity. The CIC status gives more regulatory flexibility for its investment-focused business model.
