Kalpataru Projects International Limited (KPIL) announced several decisions from its board meeting held on May 16, 2025. The board recommended a final dividend of Rs. 9 per equity share (450% on face value of Rs. 2) for FY2024-25, subject to shareholder approval at the upcoming AGM. Mr. Shailendra Kumar Tripathi was re-appointed as Deputy Managing Director for another 3 years starting October 22, 2025. Ms. Anjali Seth's tenure as Independent Director ends May 18, 2025, and Ms. Raksha Kothari has been appointed as a new Independent Director for 5 years. The board also approved M/s. Kapoor & Ved as the new Secretarial Auditor for 5 years (FY25-26 to FY29-30). Additionally, the board cleared up to USD 29 million in additional funding support for its wholly-owned Brazilian subsidiary Kalpataru Power DO Brasil, and approved an employee stock option plan covering up to 5% equity of its Swedish step-down subsidiary Linjemontage I Grastorp AB.
Shareholders will benefit from the recommended 450% final dividend once approved at the AGM. The leadership continuity with Mr. Tripathi's re-appointment signals stability in the company's growth strategy, while the funding support to the Brazilian subsidiary and ESOP scheme for the Swedish subsidiary indicate ongoing investment in international operations.
