Poddar Housing and Development Limited has disclosed to the exchanges a long list of pending SEBI (LODR) compliance failures. The company has not submitted quarterly financial results for seven straight quarters (June 2024 to December 2025) and has not filed its audited annual results for FY25. It also fails to meet the requirement of a minimum six directors (since April 2024), has no woman director, and its Audit Committee, Nomination & Remuneration Committee, and Stakeholders Relationship Committee do not meet composition norms since December 27, 2025. Shareholding pattern (Regulation 31) and Share Capital Audit Reports for the September 2025 and December 2025 quarters are also pending. Separately, three Corporate Petition (Insolvency & Bankruptcy) cases — C.P.(IB)/1211/MB/2025, C.P.(IB)/1187/MB/2025, and C.P.(IB)/948/MB/2024 — are pending before NCLT Mumbai, with the first two listed for hearing on 17 March 2026 and the third on 14 April 2026.
This is a serious red flag for shareholders. Extended non-compliance with listing rules puts the stock at high risk of trading suspension, exchange action, and erodes investor confidence, while the three pending NCLT insolvency petitions add significant solvency and going-concern risk.
