Premier Energy and Infrastructure Ltd reported weak Q1 FY26 results with consolidated total income plunging to just Rs. 0.43 lakhs from Rs. 15.56 lakhs in Q1 FY25, and a net loss of Rs. 29.63 lakhs (vs Rs. 34.60 lakhs loss last year). Standalone performance was similar with total income of Rs. 0.43 lakhs and a net loss of Rs. 16.78 lakhs. The company also announced a major acquisition of 100% stake in Gina Engineering Company Pvt Ltd, a civil engineering and construction firm, for Rs. 200 crores in cash. Gina Engineering posted revenue of Rs. 508.31 crores and PAT of Rs. 21.10 crores in FY25 (provisional), and will become a wholly owned subsidiary. The auditor (R. Sundararajan & Associates) issued an unmodified (clean) limited review opinion. Management flagged that current liabilities exceed current assets by Rs. 3,695.26 lakhs but stated this does not threaten going concern status.
The acquisition of Gina Engineering is a significant inorganic growth move that could materially scale up the company's revenue base (Gina's Rs. 508 cr revenue vs Premier's negligible top line), but the Rs. 200 crore cash outflow and the existing going concern overhang on working capital may raise concerns about funding and execution. Short-term stock reaction may be mixed as weak quarterly numbers are partially offset by the strategic acquisition.
