The NCLT Hyderabad Bench has rejected the Resolution Plan (IA(IBC)(Plan) 4/2025) submitted for Baron Infotech Limited's corporate insolvency resolution process on December 9, 2025. The plan, proposed by Mr. Vivek Kumar Ratakonda with a total financial outlay of about Rs. 30.32 crore (including a proposed merger of Ticker Limited into Baron Infotech), had earlier been approved by the Committee of Creditors with 100% voting share (sole financial creditor Aventine Software Pvt Ltd). Following the rejection, the existing Resolution Professional Mr. Bondalapati Srinivasa Rao has been replaced with Dr. V. Ahalada Rao (IBBI Regn: IBBI/IPA-002/IP-N00074/2017-2018/10172). Baron Infotech has been under CIRP since May 10, 2024, with total admitted claims of Rs. 2.47 crore against a fair value of only Rs. 29.06 lakhs and a liquidation value of just Rs. 0.26 lakhs. The CIRP will now continue under the newly appointed Resolution Professional.
Negative for shareholders. The rejection of the resolution plan means the company's revival plan has been set back, and with the liquidation value being less than 1% of fair value, shareholders face heightened risk of liquidation or further prolonged insolvency proceedings. Existing public shareholders will likely see their equity diluted or wiped out if a new plan is not approved.
