ARSS Infrastructure Projects, which has been under the corporate insolvency resolution process (CIRP) since 30 November 2021, has completed the allotment of equity shares as per the Resolution Plan approved by the NCLT on 29 August 2025. Ocean Capital Market Limited (OCML) was the Successful Resolution Applicant. The company first increased its authorized share capital through a shareholder meeting on 9 December 2025 to accommodate the new shares. A total of 7.65 crore equity shares were allotted in three tranches — 30 lakh shares to OCML on 29 September 2025, around 2.49 crore shares (including 15 lakh to assenting financial creditors) on 13 October 2025, and the remaining 5.01 crore shares to an AIF nominated by OCML on 22 December 2025.
This marks the formal completion of the company's revival plan under insolvency, meaning the new sponsor (OCML) and its nominees now hold a significant stake in the company, reshaping the shareholder base. Existing shareholders have likely been diluted substantially, and the stock may see sharp moves as control has effectively changed hands.
