R. S. Software's board approved its audited results for Q4 and FY25 on April 30, 2025, with sharply weaker numbers. Standalone Q4 revenue from operations fell to ₹868 lakh from ₹1,823 lakh a year ago (~52% drop), and the company slipped into a quarterly loss of ₹198 lakh versus a profit of ₹767 lakh in Q4 FY24. For the full year, standalone PBT fell about 62% to ₹714 lakh and EPS dropped to ₹2.70 from ₹7.43, while consolidated PAT attributable to shareholders fell 52% to ₹873 lakh. Other income collapsed from ₹464 lakh to ₹25 lakh on a standalone basis, and the US segment turned loss-making at the consolidated level in Q4. The board also approved a new ESOP Scheme 2025 (subject to shareholder approval) after the existing 2022 scheme expired on March 31, 2025. The statutory auditor issued an unqualified opinion on both standalone and consolidated results.
Shareholders should note a significant earnings deterioration with a quarterly loss and sharp full-year profit decline, though the company remains cash-positive and the audit opinion is clean. The new ESOP scheme, if approved, will mean future equity dilution but is aimed at retaining employees.
