R Systems International Limited has issued a notice for a meeting of its unsecured creditors to be held on July 31, 2025 at 12:00 noon via video conferencing, as directed by the NCLT New Delhi Bench. The meeting is to consider and approve a composite scheme of amalgamation under Sections 230-232 of the Companies Act, 2013, wherein Velotio Technologies Private Limited and Scaleworx Technologies Private Limited will merge into R Systems in two stages. Remote e-voting will be open from July 1, 2025 to July 30, 2025, with results to be announced by August 4, 2025. The scheme was approved by R Systems' Board on September 11, 2024, and the NCLT issued its direction on May 22, 2025 (read with June 10, 2025 order). KPMG Valuation Services LLP provided the swap ratio valuation, and Corporate Professionals Capital Private Limited gave the fairness opinion.
This is a procedural step in a previously announced merger and does not directly affect shareholders' holdings or stock price.
