Jag-Bid Finvest Private Limited, a Promoter Group entity of Ram Ratna Wires Limited, has transferred its entire holding of 14,75,372 equity shares (3.16% of paid-up capital) to Hemlata Home Solutions Private Limited, another Promoter Group entity. The transfer was carried out on 1st October 2025 pursuant to a Scheme of Amalgamation approved by NCLT Mumbai on 11th September 2025, involving merger of Ram Ratna Research and Holdings Pvt Ltd and Jag-Bid Finvest Pvt Ltd into Hemlata Home Solutions Pvt Ltd. After the transfer, Jag-Bid Finvest's holding stands reduced to 0%. Importantly, the company clarifies that the aggregate Promoter and Promoter Group holding remains unchanged at 3,21,39,492 shares (68.93%) of the total equity share capital, as this is purely an internal promoter-group restructuring.
This is a routine inter-se transfer within the promoter family and has no impact on overall promoter shareholding or voting rights. Retail shareholders should not perceive this as any meaningful buying or selling signal — the stock price is unlikely to be materially affected.
