Rane Holdings reported standalone revenue of Rs. 5,88,331 Lakhs for FY2026, up 35% from Rs. 4,36,159 Lakhs in FY2025. However, standalone PAT declined to Rs. 13,678 Lakhs from Rs. 22,085 Lakhs (38% decline), partly due to lower exceptional items this year (Rs. 1,980 Lakhs vs Rs. 20,095 Lakhs last year which included Rs. 21,394 Lakhs gain from RSSL settlement). On consolidated basis, PAT grew 24% to Rs. 8,461 Lakhs from Rs. 6,811 Lakhs. The Board recommended a dividend of 470% (Rs. 47 per share) and approved a preferential issue of 3,38,030 convertible warrants to promoters for Rs. 40 crores. There were board changes including retirement of Independent Director Mr. Pradip Kumar Bishnoi and appointment of Mr. Ramesh Rajan Natarajan as Independent Director. Auditors issued an unmodified (clean) opinion.
The company delivered strong revenue growth but lower standalone profit due to non-recurrence of prior year exceptional gains. The Rs. 40 crore preferential issue to promoters signals confidence, while the 470% dividend is positive for shareholders. The clean audit opinion removes going concern or qualification risks.
