Educomp Solutions has failed to file its Q3 FY26 (quarter ended December 31, 2025) financial results with the exchanges. The company has been under Corporate Insolvency Resolution Process (CIRP) since May 2017, with a Caretaker Resolution Professional currently in charge. The company operates with skeleton staff and no financial support from lenders, its statutory auditor has not been paid (and is uncooperative), the CFO has left, and audits for the prior two quarters (June and September 2025) have not been completed either. The statutory auditor's 5-year term has expired and no AGM has been held to appoint a new one. Separately, an approved resolution plan from October 2023 was not implemented by the Successful Resolution Applicant, whose appeal was dismissed by NCLAT, and contempt proceedings are now underway.
Investors should treat this as a serious red flag — the stock is effectively a non-performing, distressed asset with no functioning management, no auditor, and no near-term resolution. Continued non-filing of results may attract SEBI penal action and listing curbs, while equity holders remain last in line for any recovery under the IBC process.
