Receipt of disclosure under Regulation 29(1) of SEBI (Substantial Acquisition of Shares and Takeover) Regulations, 2011.

Four persons acting in concert — Lotus Excel Wealth Creators LLP, HODL Systems LLP, Bagepalli Vijayakumar Harish, and Rattan Kapoor — have acquired 16,36,899 shares, equal to 30.15% of Shamrock Industrial Company, from the existing promoter via an off-market deal. The acquisition was completed in two tranches on 11 August 2025 and 26–27 September 2025, pursuant to a Share Purchase Agreement dated 31 December 2024. Three of the acquirers (Lotus Excel Wealth Creators LLP, Rattan Kapoor, and Bagepalli Vijayakumar Harish) each received 5,45,633 shares (10.05% each); HODL Systems LLP did not purchase any shares but is included as a person acting in concert. Prior to this deal, all four were non-promoters but have now become promoters of the company, marking a complete change of control. The company has 54,28,414 equity shares outstanding at a face value of Rs. 10.
