IDFC FIRST Bank's Board has set Friday, July 11, 2025 as the record date to determine shareholders eligible for the dividend recommended for FY 2024-25. Separately, the Board approved an amendment to its investment agreement with Currant Sea Investments B.V., part of a roughly ₹7,500 crore fund raise via compulsorily convertible preference shares (CCPS), under which the investor will hold about 9.48% post-issue. The revised terms reduce the investor's special rights: it can nominate only one non-executive director (retiring by rotation, not non-retiring), the fall-away threshold for that right has been raised from 2% to 5%, and committee representation and alternate directorship rights have been removed. The Board also noted RBI's approval of Walker Chandiok & Co LLP and M.P. Chitale & Co as Joint Statutory Auditors for FY 2025-26.
Shareholders who hold the stock by the July 11, 2025 record date will qualify for the FY25 dividend. The diluted special rights for the incoming investor (higher fall-away threshold, no committee seats) should be read as a governance positive for existing shareholders, while the large ₹7,500 crore CCPS issuance may have a dilution effect once completed.
