Remi Edelstahl Tubulars has allotted 6,69,226 equity shares of Rs. 10 face value each at a premium of Rs. 119.33 per share (total issue price of Rs. 129.33), pursuant to the conversion of an equal number of convertible warrants. The warrants were originally issued on October 20, 2025, to WSG Co. Ltd., a South Korean non-promoter entity, on a preferential allotment basis, with the balance 75% subscription amount now received. As a result, the company's paid-up equity capital has increased from Rs. 11.94 crore (1,19,45,293 shares) to Rs. 12.61 crore (1,26,14,519 shares), a rise of about 5.6%. The newly allotted shares will rank equally with existing shares for dividends and voting rights.
This is a routine dilution event — existing shareholders' stake will be marginally reduced by about 5.3%, but the company has already received the full subscription amount, strengthening its capital base. The stock price may see mild technical pressure due to the fresh share supply, though the foreign investor's continued participation signals confidence.
