The board of Retaggio Industries Ltd approved the allotment of 23,04,000 convertible equity warrants on a preferential basis at an issue price of Rs. 26 per warrant, aggregating to Rs. 5.99 crore. The company has already received 25% of the issue price (Rs. 6.50 per warrant, totalling about Rs. 1.50 crore) as upfront application money. Each warrant is convertible into one equity share of Rs. 10 face value at a premium of Rs. 16, and holders have 18 months to exercise the conversion by paying the remaining 75%. The warrants were allotted to 5 non-promoter allottees, including Uniworth Consultants (10,02,000 warrants), Vijay Poddar (5,04,000), Sanjay Poddar (5,04,000), Veena Chawalla (1,92,000), and Keight Ventures LLP (1,02,000). BSE had already given its in-principle approval on January 8, 2026.
This is a small preferential warrant issue (about Rs. 6 crore) to non-promoter investors, which is mildly dilutive upon conversion but brings in fresh capital. On full conversion, the allottees would collectively hold around 7.6% of the company on a fully diluted basis, so the impact on existing shareholders is limited.
