RR Financial Consultants Ltd has written to BSE requesting removal of trading restrictions imposed under the Graded Surveillance Measures (GSM) Stage 3 framework. Under GSM Stage 3, the stock can only be traded once a week (every Monday), with a 5% price band and buyers required to deposit 100% of trade value as Additional Surveillance Deposit (ASD). The company argues that the restrictions are unjustified because it has shown substantial growth — consolidated net profit jumped from Rs 43.19 lakh in FY24 to Rs 284.87 lakh in FY25, with revenue rising from Rs 1,975 lakh to Rs 2,680 lakh. The company is a holding entity operating through six subsidiaries in stock broking, insurance broking, merchant banking, and NBFC businesses, and requests BSE to evaluate it on a consolidated basis rather than standalone, which would likely exempt it from GSM criteria (Net Fixed Assets under Rs 25 crore and Net Worth under Rs 10 crore). On standalone basis, Net Fixed Assets are only Rs 0.51 crore, triggering GSM thresholds despite a strong consolidated picture.
Negative near-term for shareholders — the stock remains heavily restricted (weekly trade-only, 5% band, 100% ASD), severely hurting liquidity and investor ability to exit. If BSE agrees to review on a consolidated basis, removal from GSM could provide significant relief and likely lift the stock price; however, until then, trading remains very difficult.
