RSWM Limited reported a standalone net profit of ₹51.98 crore for FY2026, a major turnaround from a net loss of ₹41.28 crore in FY2025. Revenue from operations declined to ₹4,553.98 crore from ₹4,825.29 crore in the prior year, a drop of about 5.6%. The profit improvement was driven by an exceptional item credit of ₹10.57 crore (re-assessment of employee benefits under new labour codes) and a deferred tax liability reduction of ₹22.66 crore due to opting for the new concessional tax regime from FY2026-27. The Board also approved an ESOP plan for up to 9.7 lakh equity shares and issuance of up to 24.7 lakh convertible warrants to the promoter group (LNJ Textiles Advisory LLP) at ₹146 per share. A contingent liability of ₹11.07 crore related to electricity duty has been disclosed following an adverse Rajasthan High Court order; the company plans to file a Special Leave Petition in the Supreme Court.
The company returned to profitability after a loss-making FY2025, which is a positive signal for shareholders. However, the revenue decline is a concern and investors should monitor the upcoming warrant conversion and any further developments on the electricity duty legal case.
