The Board of Rudra Ecovation has approved the forfeiture of 26,87,000 convertible warrants that were not converted into equity shares within the 18-month deadline ending January 10, 2026. These warrants were originally allotted on July 11, 2024 at Rs. 48 per warrant on a preferential basis, with 25% upfront money already paid. As per regulations, the 25% upfront amount paid on these unconverted warrants (approximately Rs. 3.22 crore) will be forfeited and retained by the company. The defaulting holders are Dinesh Pareekh (non-promoter, 9,67,000 warrants) and Shiva Spinfab Private Limited (promoter entity, 17,20,000 warrants).
For existing shareholders, this is mildly positive as it prevents further equity dilution from these 26.87 lakh warrants. However, the promoter entity's failure to convert signals possible cash constraints, and the forfeited amount is small relative to the company's overall size.
